    The ALLTECH MY FARM MY FUTURE CONTEST (“Contest”)

    THIS CONTEST IS OPEN TO CANADIAN RESIDENTS ONLY (excluding Quebec)
    AND IS GOVERNED BY CANADIAN LAW.

    The Contest is in no way sponsored, endorsed or administered by, or associated with Facebook (the “Social Platform”).  The Social Platform is hereby completely released of all liability by each entrant in this Contest. Any questions, comments or complaints regarding the Contest must be directed to the Sponsor and not to the Social Platform. You may only use one (1) Facebook account to participate in this Contest.

    • ELIGIBILITY:

    Contest is open to all legal residents of Canada (excluding residents of Quebec) who: (i) are the owner, operator or designated representative of a farm (the “Farm”); and (ii) have reached the age of majority in their province or territory of residence at the time of entry, except employees, representatives or agents (and those with whom such persons are domiciled whether related or not) of Alltech Canada Inc. (the “Sponsor”), Masterfeeds LP, and each of their respective advertising and promotion agencies and the Contest judges (collectively, the “Contest Parties”). Submitting more than one video of any particular farm to any one or more Alltech 2017 My Farm My Future Contests is strictly prohibited.

    • CONTEST PERIOD:

    Contest begins on January 19, 2017 at 12:00:00 p.m. Eastern Time (ET) and ends on April 27, 2017 at 12:00:00 p.m. ET (the “Contest Period”).

    • HOW TO ENTER:

    No purchase necessary.  To enter, go to http://go.alltech.com/myfarm-canada (the “Website”). The deadline to enter is April 20, 2017 at 9:00 a.m. Eastern Standard Time. Following the instructions on the Website, enter your first name, last name, valid email address, and country. You will then be required to: (i) upload one (1) unique and original video (the “Video”).  Your Video must be in accordance with the specific requirements listed below and must depict you on your Farm, and describe and/or discuss what you are doing to help ensure its future (“Theme”). When all required fields are completed (including uploading your Video), click the “Submit” button to complete your entry (entry form and Video hereinafter collectively referred to as “Entry”).

    There is a limit of one (1) Entry per person permitted during the Contest Period. If it is discovered that you attempted to enter more than once during the Contest Period, then (in the sole discretion of the Sponsor) you may be disqualified and all of your Entries voided. Entries will be rejected if: (a) entry form is not fully completed (including uploading your Video) and submitted during the Contest Period; or (b) if the Entry does not conform to the specific requirements listed below.  Without limitation, the Contest Parties are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Entries.

    By submitting An entry, the entrant agrees that the Entry complies with all conditions stated in these Rules. The contest parties will bear no legal liability, expressed or implied, regarding the use of the Entry by the CONTEST PARTIES and THE contest parties SHALL BE HELD HARMLESS BY AN ENTRANT IN THE EVENT IT IS SUBSEQUENTLY DISCOVERED THAT THE ENTRANT HAS DEPARTED FROM OR NOT FULLY COMPLIED WITH ANY OF THE RULES.

    • VIDEO REQUIREMENTS:

    Your submitted Video must never have been previously exhibited publicly outside of this Contest or selected as a winner in any other contest. To be eligible for entry in this Contest, the Video must meet the following specific requirements: must be shot in landscape format, must be one-to-two minutes in length, be filmed on the submitter’s Farm, speak about their vision for the future of the Farm and does not include political views, profanity or nudity, as set out further below.

    By participating in the Contest, each entrant agrees to be bound by these Official Rules (the “Rules”) and by the interpretation of these Rules by the Sponsor, and further warrants and represents that his/her Video:

    • is original to him/her and that the entrant has all necessary rights (including, without limitation, consent of the videographer) in and to the Video to enter the Contest;
    • does not violate any law, statute, ordinance or regulation;
    • does not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence (note: if you cannot obtain the consent of an individual appearing in your Video, then his/her face must be blurred out);
    • will not give rise to any claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party, or give rise to any claims for payment whatsoever; and
    • is not defamatory, trade libelous, pornographic or obscene, and further that it will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; explicit, graphic or excessive sexual activity; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual or religious groups; content that endorses, condones or discusses any illegal, inappropriate or risky activity, behaviour or conduct; personal information of individuals, including without limitation, names and addresses (physical or e-mail), unless you have the permission of the applicable individual; conduct or other activities in violation of these Rules; commercial messages, comparisons or solicitations for products or services other than those of Sponsor; identifiable third party products and/or trade-marks, brands or logos, (for example, any clothing worn by persons appearing in a Video must not contain any visible logos, trade-marks or other third party materials, unless the necessary permissions/licenses have been obtained); and/or any other content that is or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor and/or the Contest Parties in their sole discretion.

    Any Video that the Sponsor and/or the Contest Parties deem, in its/their sole discretion, to violate the terms and conditions set forth in these Rules may not be posted.  At any point during the Contest Period, including without limitation during the voting period, and regardless of whether an Entry has been posted on the Website or the Social Platform, the Sponsor and/or the Contest Parties reserve the right, in its/their sole discretion, to edit or modify any Video, or to request an entrant to modify or edit his or her Video, in order to ensure that the Video complies with these Rules, or for any other reason.   

    By entering the Contest and submitting a Video, each entrant: (i) grants to the Sponsor, in perpetuity, a world-wide, non-exclusive license to publish, display, reproduce, modify, edit or otherwise use the Entry, in whole or in part, for advertising or promoting the Contest or for any other reason; (ii) waives all moral rights in and to his/her Video in favour of the Sponsor; and (iii) agrees to release and hold harmless the Contest Parties and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Releasees”) against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action.  For greater certainty, the Sponsor and/or the Contest Parties reserve the right, in its/their sole discretion, to modify, edit or remove any Entry, or to request an entrant to modify or edit his or her Entry, if a complaint is received with respect to the Entry, or for any other reason.

    • Grand PRIZE:

    There will be one (1) “Grand Prize” available to be won, consisting of registration for one winner and a guest to ONE: The Alltech Ideas Conference, taking place in Lexington, Kentucky, United States on May 21-24, 2017, (“Conference”), (approximate retail value $895 US/$ 1178 CAD for each registration) and a cheque for $1,500 CAD to be provided to the winner in person at the Conference and which can be used as a reimbursement for travel expenses to the Conference (“Cheque”). The total approximate retail prize value is $3,856 CAD, however, for greater certainty, no monetary amounts wtih respect to registration at the Conference will be provided to the winner or their guest.

    NOTE: Selected winner will not receive the Cheque if they do not attend the Conference. Selected winner is responsible for arranging their travel and accommodations for both the winner and their guest such that they are able to attend the Conference May 21-24, 2017. The winner is responsible for all costs associated with their travel and accommodation. Winners will be contacted with details to pick-up their Cheque at the Conference. The Cheque will be made out to the winner in Canadian dollars, and may not be redeemable until the winner has returned to Canada.

    Without limiting the generality of the foregoing, the following general conditions apply to the Grand Prize: (i) Grand Prize must be accepted as awarded and is not transferable or convertible to cash (no substitutions except at Sponsor’s option); (ii) all travel related to the Grand Prize must occur within the dates specified above (otherwise the Grand Prize will be forfeited in its entirety) and the winner must have all necessary documentation to permit international travel (e.g., passport, visa); and not have any barrier to entry in the United States or return to Canada; (iii) the costs of everything not specifically stated above as included in the Grand Prize are the responsibility of the winner, including, without limitation, travel, accommodation, meals, gratuities, health and travel insurance and items of a personal nature; (iv) if the winner does not utilize any part(s) of the Grand Prize, then any such part(s) not utilized will be forfeited in their entirety and nothing will be substituted in their place; (v) Sponsor reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the Grand Prize or any component thereof; and (b) substitute the Grand Prize or a component thereof for any reason with a prize or a prize component of equal or greater value, including without limitation, but solely at the Sponsor’s sole discretion, a cash award; and (vi) by accepting the Grand Prize, the winner agrees to waive all recourse against the Releasees if the Grand Prize or a component thereof does not prove satisfactory, either in whole or in part.

    The Grand Prize will only be awarded to the entrant whose full name and valid e-mail address appears on the entry form.  Without limitation, the Contest Parties are not responsible for the distribution of the Grand Prize between any persons who may have participated in making the Video.

    • WINNER SELECTION PROCESS:

    Prior to April 20, 2017, a panel of judges appointed by the Sponsor will judge the eligible Entries on the basis of impact, uniqueness, appropriateness and relevance to the Theme. Odds of your Entry being selected depend on the number and calibre of the eligible Entries. The at least two (2) and not more than 100 Video Entries with the highest total score (the “Score”) will be deemed to be the selected finalists (“Finalists”).  All criteria will be weighed equally. In the event of a tie based on total Score, the Entry with the highest Score on appropriateness will be deemed to be the Finalist.

    On April 20, 2017, the Finalists Videos will be posted to the Alltech Naturally Facebook page for public voting. Public voting will take place on the Alltech Naturally Facebook page from April 20, 3:00 p.m. ET –  and closes on April 27, 2017 at 12:00:00 p.m. ET. Voting will be through the use of the “like” functionality on the Social Platform. The eligible Video with the most votes (Likes), will be declared the potential winner. Odds of your Video being selected depend on the calibre of the Finalist Videos and on the number of votes received, but are no worse than 1 in 100.

    To confirm they are a winner and claim the Grand Prize, the eligible entrant that submitted the selected Video will need to correctly answer a time limited skill testing mathematical question without mechanical or other aid. If they do not answer correctly, they will be disqualified, and the eligible entrant whose Video received the next highest number of votes may be deemed, time permitting, by the Sponsor to be the potential winner, in which the preceding provisions of this clause will apply. In the event of a tie based on popular vote, a panel of Sponsor employees will judge the tied Videos on the basis of impact, uniqueness, appropriateness and relevance to the Theme, and the video with the highest total score will be deemed the Grand Prize selected entrant. All criteria will be weighed equally.

    By accepting the grand prize, the Grand Prize selected entrant agrees that:

    • Sponsor shall have the right to use his/her photograph or other likeness, Farm name, and depiction in the Video, without further notice or compensation, in any publicity or advertisement carried out by the Sponsor in any manner whatsoever, including print, broadcast or the internet;
    • they have complied with these Rules;
    • they acknowledge acceptance of the Grand Prize (as awarded);
    • they release the Contest Parties and each of their respective officers, directors, employees, agents, representatives, successors and assigns from any and all liability in connection with this Contest, his/her participation therein and/or the awarding and use/misuse of the Grand Prize or any portion thereof; and
    • they agree to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner or medium whatsoever, including print, broadcast or the internet.  

    As a condition of participating in the Grand Prize, the winner’s guest must also agree to the above conditions.

    If the Grand Prize selected entrant: (i) cannot be contacted by phone or email within ten (10) business days of April 27, 2017; (ii) there is a return of any notification as undeliverable; (iii) cannot accept (or is unwilling to accept) the Grand Prize (as awarded) for any reason; (iv) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); and/or (v) does not agree to the terms and conditions exactly as set forth in these Rules; then he/she will forfeit their opportunity to be the winner and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select the eligible entrant whose Video received the next highest number of votes to be the potential winner (in which case the foregoing provisions of this section shall apply to such newly selected entrant). 

    • GENERAL CONDITIONS:

    All Entries become the property of the Sponsor. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants. By participating in this Contest, you are agreeing to be legally bound by the terms and conditions of these Rules. ANYONE DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME. 

    The Releasees will not be liable for: (i) any failure of the Website during the Contest; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; and/or (v) any combination of the above.

    In the event of a dispute regarding who submitted an Entry, the Sponsor reserves the right, in its sole and absolute discretion, to deem the Entry to have been submitted by the authorized account holder of the email address submitted at the time of entry. “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. An entrant may be required to provide proof (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) that he/she is the authorized account holder of the email address associated with the Entry in question.

    The Sponsor reserves the right to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules, including, without limitation, any error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud or technical failure. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right to cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. Without limiting the generality of the forgoing, the Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

    By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her Entry for the purpose of administering the Contest and in accordance with Sponsor’s privacy policy (available at: http://www.alltech.com/privacy-policy).  This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

    The Sponsor reserves the right to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Entry with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

    In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to: the Entry Form, Website, and/or point of sale, television, print or online advertising; the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.
